CES SOFTWARE PLC CLOSES ORDINARY SHARE OFFERING 
                    AND 
COMMENCES TRADING ON THE TORONTO STOCK EXCHANGE

CES Software plc ("CES" or the "Company"), (AIM:CES) (TSX:FUN)
CES, a leading provider of skill gaming and betting exchange technology, is
pleased to announce that its ordinary shares commenced trading on the
Toronto Stock Exchange today.
In addition the Company annouces that it has closed its previously announced
public offering of ordinary shares. The Company sold 977,700 ordinary shares at
a price of Cdn$3.22 per share for aggregate gross proceeds of $3,148,194. The
ordinary shares were qualified for distribution pursuant to a prospectus dated
28 September 2004. This prospectus also qualified 4,320,000 ordinary shares
which were issued earlier today on the deemed exercise of 4,320,000 previously
issued special warrants. CIBC World Markets Inc. and Canaccord Capital (Europe)
Ltd. acted as brokers in connection with both offerings.
