                              Directors' Dealings



Centurion Electronics plc ("Centurion" or "the Company") announces that Chris
Rhodes, Mike Harrison and Keith Davis, all Directors of Centurion, have each
been granted 7,272,700 share options (the "Options") under the Centurion
Enterprise Management Scheme (the "EMI Scheme"). The Options were granted on 3
April 2005, following the Company's recent refinancing, to replace all of the
share options previously granted to the Directors under the EMI Scheme. The
Options represent, in aggregate, 3.1 per cent of the enlarged issued share
capital, and are exercisable at a price of 1.375 pence per share at any time
between 27 June 2007 and 27 June 2015 subject to the share price of the Company
reaching the following targets on the date of exercise :


* up to 33.3 per cent of the Options may be exercised in the event that
  the Centurion share price is above 2.68p;

* up to 66.6 per cent of the Options may be exercised in the event that
  the Centurion share price is over 4.00p;

* all of the Options may be exercised in the event that the Centurion
  share price is over 5.3p.


The 1,463,409 share options granted to the same Directors in July 2005 under the
EMI Scheme consequently have been cancelled.
