Update to Share Buyback
Programme
GlobalData Plc ('GlobalData' or the
'Group') announced on 31 July 2024 a return of surplus capital of
£10 million to shareholders to be implemented through a share
buyback programme of GlobalData's ordinary shares (the 'Share
Buyback Programme').
Under the terms of the Share Buyback
Programme as originally announced, GlobalData will not purchase
more than 25% of the average daily volume of its shares, being
based on the average daily volume traded in the 20 trading days
preceding the date of purchase. Due to the limited liquidity
in the issued ordinary shares, the terms of the buyback have now
been amended such that any buyback of ordinary shares pursuant to
the authority on any trading day may exceed 25% (but remain below
50%) of the average daily trading volume, being the limit laid down
in Article 5(1) of UK MAR and, accordingly, the Company will not
benefit from the exemption contained in that Article.
