                     DouglasBay Capital plc (the "Company") 
 
                                  Put Options 
 
At the time that the Company acquired The Laxey Investment Trust plc ("TLIT") 
the Company granted TLIT shareholders an option to put shares on the Company 
subject to certain conditions which were updated in the revised deed poll dated 
30 July 2009 (the "Revised Deed Poll"). 
 
The Board has determined that the conditions in the Revised Deed Poll have been 
satisfied and accordingly Option Holders (as defined in the Revised Deed Poll) 
have the right to require the Company to purchase all of their Option Shares (as 
defined in the Revised Deed Poll) at a price of 12 pence each (the "Put Option") 
. 
 
Accordingly, if Option Holders would like to exercise their Put Option they 
should complete an Exercise Notice in respect of all of the Option Shares which 
they hold and send the notice by first class recorded delivery to DouglasBay 
Capital plc, c/o Capita Registrars (Isle of Man) Limited, 3rd Floor, Exchange 
House, 54-62 Athol Street, Douglas IM1 1JD to be received during the period 
commencing on 14 September 2010 and ending at 1.00 pm London Time on 20 November 
2010 (the "Option Period"). 
 
Under the terms of the Revised Deed Poll the right of Option Holders to exercise 
their Put Options terminates on the expiry of the Option Period. 
 
Completion in respect of all of the Put Options that have been validly exercised 
will take place within 5 days of the expiry of the Option Period, at which time 
all Option Shares purchased by the Company will be cancelled.
