Liquidation proposals

Introduction


At the time of the Company's tender offer announced in September 2005, the Board
noted that notwithstanding the commitment to return up to 20 per cent. of the
Company's share capital by way of an annual tender offer, it was aware that some
shareholders would benefit from the ability to exit a larger proportion of their
holding in the Shares than might otherwise be available under the tender offer.
It stated that it was the Board's intention to put proposals to Shareholders
which would allow them to exit all of their holding in shares in the Company for
cash before the end of 2006.


The continuation vote was passed at the annual general meeting in July 2006 and
therefore over the last few months the Board has conducted a review of the
alternatives available for the future of the Company. The Board has considered a
variety of possible alternatives available to it, including making available a
successor vehicle into which some of the Company's assets could be transferred.
Through the Company's broker and Investment Manager, the Board has made contact
with Shareholders holding a majority of the Company's Shares to obtain their
views.


Liquidation


As a result the Board has concluded that proposals should be put to Shareholders
providing for a simple voluntary winding-up of the Company. In reaching this
conclusion, the Directors were mindful of the feedback they have received from
Shareholders, the costs that would be associated with offering a successor
vehicle and the potential tax implications for both institutional and private
shareholders.


The voluntary winding-up will be subject to shareholder approval. It is expected
that a circular containing full details of the proposals will be despatched as
soon as practicable, following receipt of regulatory approval and tax approval.
It is expected that the first cash distribution will be made prior to the end of
2006.
