POSTING OF CIRCULAR REGARDING THE DISPOSAL OF THE ENTIRE INVESTMENT PORTFOLIO, 
DE-LISTING AND SUMMARY WINDING UP 
 
 
 
 
1.   POSTING OF CIRCULAR 
 
 
Further to the announcement released on 6 March 2009, Guangdong Development Fund 
Limited (LSE: GDF) confirms that a Circular convening an Extraordinary General 
Meeting of the Company and setting out the details of the proposed disposal of 
all of its remaining assets and investments to Kingwin Investments Limited and 
the proposed De-listing and Summary Winding Up of the Company, has now been 
posted to GDF Shareholders. 
 
 
The Disposal is expected to complete on or before 3 June 2009 and the Summary 
Winding Up and De-listing are expected to commence on or before 4 June 2009. 
 
 
The EGM is to be held at Unit 601-2, 6th Floor, St. George's Building, 2 Ice 
House Street, Central, Hong Kong at 4 p.m. (Hong Kong time) on 22 May 2009. 
 
 
It is expected that the listing of Ordinary Shares will be suspended at 7:30 
a.m. (London time) on the day of the EGM. 
 
 
Subject to the approval of the GDF shareholder Resolution relating to the 
De-listing, application will be made to cancel the listing of Ordinary Shares on 
the Official List on the day of the Completion of the Disposal. It is expected 
that the listing of Ordinary Shares will be cancelled at 8:00 a.m. (London time) 
on the business day following Completion, being 4 June 2009. 
 
 
Copies of the Circular will be available for inspection at the Financial 
Services Authority's Document Viewing Facility, the registered office of the 
Company (Ground Floor, Liberation House, Castle Street, St Helier, Jersey JE2 
3AT, Channel Islands), and the offices of Reed Smith LLP (The Broadgate Tower, 
20 Primrose Street, London EC2A 2RS) during normal business hours.
