The Company was informed on 12 December 2002 that with effect from 6 December
2002, Granwood Holdings Limited, has transferred its entire holding of 7,132,474
ordinary shares of 5 pence each in the  Company which equates to 29.09% of the
issued share capital to The Derbyshire Group Limited.  Both Granwood Holdings
Limited and The Derbyshire Group Limited are ultimately owned by Michael Pass.
