                           DIRECTORS' SHARE INTERESTS


The following replaces the Director Shareholding announcement released 28 May
2003, at 16:18 under RNS number 6410L. Dr G H Weiss' holding of Guinness Peat
Group plc Ordinary Shares should be 4,253,033, and not 4,523,033, as previously
stated. All other details remain unchanged, and the full amended text appears
below.

"Following the allotment of shares on 16 May 2003 under the Company's Scrip
Dividend Alternative allotted at a rate of 1 new share for every 50 elected and
the allotment of shares on 27 May 2003 under the 2003 Capitalisation Issue,
Guinness Peat Group plc ("GPG") announces the following increased interests of
its directors in the securities of the Group:
