                       GOVETT SINGAPORE GROWTH FUND LIMITED

ANNUAL GENERAL MEETING

The following resolutions were passed at the AGM held 15 May 2002:-

1. The report of the directors and the financial statements of the company to
30th November 2001 were presented to the Meeting. It was resolved that these be
adopted.

2. It was resolved that Mr Lee be re-elected as a Director of the Company.

3. It was resolved that Mr Povey be re-elected as a Director of the Company.

4. It was resolved that PricewaterhouseCoopers be re-appointed as auditors of
the Company and that the Directors be authorised to determine their
remuneration.

5. Special Resolution - To amend the Articles of Association
IT WAS RESOLVED THAT Pursuant to Article 57 of the Company (Jersey) Law 1991
members authorise until 14 November 2003 the purchase by the Company on the
London Stock Exchange ("the Stock Exchange") of up to 280,000 shares of the
Company (or, if less, that number of shares which is equal to 14.99 per cent of
the Company's issued share capital at the date of passing this Resolution) at a
price of prices equivalent to not more than 85 per cent of the most recently
calculated net asset value per share of the Company (determined in accordance
with Article 128 of the Article of Association) immediately prior to any such
purchase and at a price or prices not less than 1 per cent of such net asset
value per share, provided always that the price paid is not more than 5 per cent
above the average of the mid-market values of the shares (as shown by the Stock
Exchange Daily Official List or, if not quoted in that list, by the Financial
Times) for the five business days before the purchase is made, this Resolution
to be in substitution for and to the exclusion of the Resolution adopted in like
behalf on 1st May 2001.
