Further to the announcement of 12 July 2002 that the company was in talks which
may or may not lead to an offer, the company has agreed indicative terms of an
offer which may be made by a third party financial institution which would back
executive management to continue to run the business.  The indicative offer
contemplates a premium to the current share price.



Shareholders should note that this approach is subject to a number of
pre-conditions including, inter alia, due diligence.  There can be no guarantee
therefore that the offer will be made, nor as to the level of such an offer at
this stage
