  Transparency Notification by AE-Rotor Holding B.V. and ZF International B.V. 
 
 
18 October 2011 - Hansen Transmissions International NV (LSE ticker 'HSN') 
reports that on 17 October 2011 it received a transparency notification, which 
shows that on 11 October 2011 AE-Rotor Holding B.V. sold its entire shareholding 
in Hansen Transmissions International NV to ZF International B.V. 
 
This transparency notification was made following the sale by AE-Rotor Holding 
B.V. ("AERH") of 174,632,079 depositary interests (26.06%) in Hansen 
Transmissions International NV ("Hansen") to ZF International B.V. ("ZF") under 
the offer made by ZF for the entire issued and to be issued share capital of 
Hansen and the Irrevocable Undertaking signed by AERH on 24 July 2011, as 
received by ZF Friedrichshafen AG on the same day (see previous notification 
form of 27 July 2011). Pursuant to this sale, AERH has disposed of its entire 
stake in Hansen. This transparency notification should be read together with the 
transparency notification made on the date hereof by Ecofin Special Utilities 
Master Fund Limited, Ecofin Water & Power Opportunities plc, ZF and ZF 
Friedrichshafen AG. 
 
In relation to the offer made by ZF for the entire issued and to be issued share 
capital of Hansen on 18 August 2011, ZF has received acceptances of 645,705,683 
Hansen shares or 96.36% of the existing issued share capital of Hansen.

AE-Rotor  Holding B.V.  is directly  controlled by  Suzlon Wind Energy Ltd., UK, 
which  is  in  turn  directly  controlled  by Suzlon Energy Ltd., Mauritius. The 
latter  entity is directly controlled by Suzlon  Energy Ltd., India which is the 
ultimate  controlling shareholder of AE-Rotor Holding B.V. ZF International B.V. 
is  a wholly owned subsidiary of ZF Friedrichshafen AG. ZF Friedrichshafen AG is 
directly  controlled by  the Zeppelin  Foundation, administered  by the  City of 
Friedrichshafen,  holding  93.8% of  ZF  Friedrichshafen  AG shares, and the Dr. 
Jürgen-Ulderup  Foundation,  Lemförde,  with  6.2% of  the ZF Friedrichshafen AG 
shares.
