    AGM update and change of directors

    

Heritage Underwriting Agency plc (the "Company" or *HUA*) is pleased to announce that at its Annual General Meeting ("AGM"), held today at
its London offices, the resolutions that were proposed as set out in the AGM Notice dated 10 March 2008 were duly passed except resolutions
for the re-election of Simon Shaw and Jim Hays, which were not proposed due to their resignations from the board of the Company.  
 
A resolution approving the appointment of Andrew Carrier (age 47) (president of Argo Re) as a Director of Heritage, was duly passed, and his
appointment to the board of the Company takes effect from today. Save as set out below, there is no further information required to be
disclosed under Rule 17 and paragraph (g) of Schedule 2 of the AIM Rules for Companies in connection with Andrew Carrier*s appointment.  
 
Further details of the AGM results will be available shortly on the Company's website (www.heritage-plc.com).

The Company also announces that following the offer for HUA by Argo Acquisition, Limited being declared wholly unconditional on 14 May 2008
(and as previously stated in its offer document to HUA shareholders) the non-executive directors of HUA, being John Kavanaugh, Barry Cook,
Miriam Greenwood, James Hays, Christopher Garth James and Simon Shaw, have each resigned from the board.
