     INVISTA REAL ESTATE INVESTMENT MANAGEMENT HOLDINGS PLC ("INVISTA" 
      OR THE "COMPANY")

     ISSUE OF NEW SHARES 
------------------------------------------------------------------------- 
     As described in the scheme document posted to Invista Shareholders 
      on 27 June 2012 (the "Scheme Document"), it was stated that 
      Palmer Capital Investors (India) Limited ("Palmer Capital") 
      had agreed to acquire four Invista Shares and to hold such 
      Invista Shares until the Effective Date of the scheme. 
------------------------------------------------------------------------- 
     In this regard, Invista today announces that it has issued 
      four ordinary shares of GBP0.0001 pence each (the "New Ordinary 
      Shares"). Application has been made for the New Ordinary Shares 
      to be admitted to trading on the AIM Market of the London 
      Stock Exchange. The New Ordinary Shares will rank pari passu 
      with existing ordinary shares and it is expected that admission 
      will occur on 8 August 2012.

     Following admission of the New Ordinary Shares, the Company 
      will have 267,247,754 ordinary shares of GBP0.0001 pence each 
      in issue. The ISIN reference for these shares is GB00B1CKTY16. 
      The Company also confirms that it has 50,000 preferred ordinary 
      shares of GBP1 each in issue as at 2 August 2012.

     Invista currently holds no ordinary shares and no preferred 
      ordinary shares in Treasury.
