             JPMORGAN FLEMING INCOME & GROWTH INVESTMENT TRUST PLC


                            RECONSTRUCTION PROPOSALS



The Board of JPMorgan Fleming Income & Growth Investment Trust plc (the "Company
") announces that, with respect to the forthcoming winding up date for the
Company, it has reviewed various options and concluded that there is demand
amongst shareholders for the ability to rollover their investment into a new
split capital investment trust similar to their existing investment.



The Board therefore intends to bring forward proposals in advance of the end of
the Company's life to implement a reconstruction before Christmas 2006, whereby
shareholders can elect for their choice of:



-        shares in a new split capital investment trust managed by JPMorgan
Asset Management which seeks to achieve the same investment objective and a
broadly similar investment policy as the existing Company.  It is expected the
rollover vehicle will have a similar capital structure comprising income shares,
capital shares and units; or



-        cash (on the basis of liquidation entitlement)



The Board expects to publish full details in November.
