                          Immediate Reports) 5730-1970



Further to the immediate report that was issued February 4, 2007, regarding the
corporation's freeze of its business activities, and in furtherance of the
Immediate Report dated February 12, 2007, Kidron Industrial Holdings Ltd.
(formerly Technoplast Industries Ltd, hereinafter, "Kidron Industrial
Holdings"), hereby provides notice of the following:



 1. On May 16, 2005, First Israel Turnaround Enterprise (Delaware), L.P. ("FITE")
    and the limited partnerships of FITE (hereinafter, collectively, the "Fund")
    and Kidron Industrial Holdings entered into a five-year loan agreement,
    pursuant to which the Fund loaned an amount of NIS$3.5 million to Kidron
    Industrial Holdings (hereinafter, the "Loan" and the "Loan Agreement,"
    respectively). For the purpose of securing its obligations towards the Fund,
    on July 27, 2005, Kidron Industrial Holdings executed a promissory note in
    favor of the Fund, for the amount of the Loan, and registered an unlimited,
    first-ranking, fixed cover all of its shares in Kidron Plastics Ltd.
    (hereinafter: "Plastics").



 2. In the afternoon hours of February 11, 2007, Kidron Industrial Holdings was
    served a Motion to Enforce a Fixed Charge which was filed by the Fund on the
    same day with the Tel-Aviv District Court (hereinafter, the "Motion").
    According to the Fund, such motion was filed due to Kidron Industrial
    Holdings' failure to fulfill its obligations under the Loan Agreement.



 3. Pursuant to the Motion, the Fund requested that the Court issue an order for
    the enforcement of the charge, and to permit the Fund to sell the
    aforementioned charged shares.



 4. In addition, in the afternoon hours of February 11, 2007, Kidron Industrial
    Holdings was served an urgent motion for the appointment of a temporary
    liquidator over the charge, which the Fund filed (ex-parte) together, with
    the Motion, in the Tel-Aviv District Court.



 5. As of the date of this Immediate Report, Kidron Industrial Holdings is unable
    to assess the likelihood of success of the motions.
