            Re: Kidron Industrial Holdings Ltd. Company Announcement

Kidron Industrial Holdings Ltd (hereinafter: "the Company") has announced to the
Tel Aviv Stock Exchange and to the Israeli Securities Authority as an immediate
report, that Mr. Alon Fradkin, CPA., the Company's special administrator and
trustee of the Company in stoppage of proceedings (the Israeli equivalent of a
trustee under chapter 11  of the US law) (hereinafter: "the Trustee") has
published an invitation to the public to furnish offers to purchase the Company,
and/or its shares and/or its activities and/or its assets, including its
equipment and its real estate property.


Any person interested in purchasing the above assets, in whole or in part, shall
be entitled to present the Trustee, by or before 25 March 2007, with a purchase
offer, in writing and in a sealed envelope. Such offer must be accompanied by a
bank guarantee covering 10% of offered purchase price.


The purchasing of the above assets and rights shall be made on an as is basis.


Any such purchase shall be subject to the approval of the banks that are holders
of charges over any purchased asset and to the approval of the district court in
Nazerat Ilit.
