The following announcement was released last night:

     Bernard Matthews PLC ("Bernard Matthews" or the
                       "Company")

The Independent Directors of Bernard Matthews PLC note
the announcement today that Sara Lee Corporation is
considering whether or not to make an offer for the
Company.  This announcement was made following an
announcement earlier today of a recommended cash offer to
be made by HSBC Investment Bank plc on behalf of Bernard
Matthews Holdings Limited for the Company.  The
Independent Directors are seeking clarification from both
parties.

A further announcement will be made when appropriate.
