RECOMMED CASH ACQUISITION
of
MONITISE PLC ("Monitise")
by
FISERV UK LIMITED
(an indirect wholly-owned subsidiary of Fiserv, Inc.
("Fiserv"))
to be effected by means of a Scheme of Arrangement
under Part 26 of the Companies Act 2006
Court Meeting and General Meeting Postponed
On 13 June 2017, the boards of Monitise and Fiserv released an
announcement in accordance with Rule 2.7 of the Code (the "Offer
Announcement") relating to a recommended cash offer by Fiserv UK
Limited for the entire issued and to be issued share capital of
Monitise at an Offer Price of 2.9 pence per share, valuing Monitise
at approximately GBP70 million.
Further to the Offer Announcement, Monitise posted the Scheme
Document to Monitise Shareholders on 3 July 2017, containing, among
other things, the full terms and conditions of the Acquisition,
notices of the Court Meeting and General Meeting, each convened for
26 July 2017 (at 10:30 am and 10:45 am respectively), and details
of the actions to be taken by Monitise Shareholders.
In light of feedback received from certain Monitise
Shareholders, Fiserv requested that the Board of Monitise seek the
permission of the Court to postpone the Court Meeting to allow for
further discussions with these shareholders.
Monitise announces that today it resolved to agree to Fiserv's
request and sought and obtained an order from the Court postponing
the Court Meeting to a date to be fixed. Accordingly, the General
Meeting, originally convened for a time to follow on from the Court
Meeting, will be correspondingly postponed to follow the postponed
Court Meeting.
The Board of Monitise reconfirms its unanimous recommendation
that Monitise Shareholders vote in favour of the Acquisition by
Fiserv either in person at the Court Meeting and General Meeting
once rescheduled or by lodging Forms of Proxy with the Company's
registrar by the relevant deadlines once rescheduled. The Board of
Monitise reiterates its belief that the strategic alternatives to
the Acquisition are accompanied by significant execution risk and
are unlikely to yield superior value to the Acquisition.
The Board of Monitise will advise Monitise Shareholders of the
revised timetable and processes in due course, including the times
and dates by which Forms of Proxy for the rescheduled meetings will
be required to be submitted. Monitise Shareholders who have already
submitted Forms of Proxy for the Court Meeting and/or the General
Meeting and who do not wish to change their voting instructions
will not need to take any further action as their Forms of Proxy
will continue to be valid in respect of the postponed Court Meeting
and postponed General Meeting. Monitise Shareholders who have
submitted Forms of Proxy for the Court Meeting and / or the General
Meeting but who wish to change their voting instructions will be
advised how to do this when the Company notifies Monitise
Shareholders of the times and dates of the rescheduled
meetings.

Dealing and opening position disclosure requirements of the
Code
Under Rule 8.3(a) of the Code, any person who is interested in 1
per cent. or more of any class of relevant securities of an offeree
company or of any securities exchange offeror (being any offeror
other than an offeror in respect of which it has been announced
that its offer is, or is likely to be, solely in cash) must make an
Opening Position Disclosure following the commencement of the offer
period and, if later, following the announcement in which any

relevant securities of an offeree company or a securities exchange
offeror, they will be deemed to be a single person for the purpose
of Rule 8.3.
Opening Position Disclosures must also be made by the offeree
company and by any offeror, and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).
