Conversion of C Ordinary Shares of 5p each into New Ordinary Shares 
of 5p each 
 
Following the conversion of D Ordinary Shares into C Ordinary Shares 
on 8 June 2009, Octopus Second AIM VCT PLC (the 'Company') announces 
that on 12 June 2009 it converted 15,807,520 C ordinary shares of 5p 
each in the share capital of the Company ('C Ordinary Shares') into 
38,432,491 New Ordinary shares of 5p each in the share capital of the 
Company ('New Ordinary Shares') in accordance with the Articles of 
Association of the Company.  The conversion rate was 2.4313 new 
Ordinary Shares for every one C Ordinary Share and all fractions were 
disregarded.  Details of the conversion are set out in the Company's 
Articles of Association and were in accordance with the procedure set 
out in the Circular issued by the Company on 1 May 2009. 
 
The Company has applied for the New Ordinary Shares to be admitted to 
the Official List of the UK Listing Authority and to trading on 16 
June 2009 on the London Stock Exchange's market for listed 
securities.  New share certificates will be issued within 15 days. 
 
As part of the conversion directors Elizabeth Kennedy, Alistair 
Ritchie and Sir Aubrey Brocklebank, converted 25,625 C Ordinary 
Shares, 25,000 C Ordinary Shares and 5,138 C Ordinary Shares 
respectively. Subsequent to these conversions, the following 
Director's interests in the ordinary shares of 5p each in the Company 
have increased to:
