In accordance with Rule 4.3 of the UK Listing Authority's Disclosure and 
Transparency rules, Octopus VCT plc ("Fund" or "Company") presents an Interim 
Management Statement for the period 1 September 2011 to 31 December 2011. The 
statement also includes relevant financial information between the end of the 
period and the date of this statement.

Performance 
At 31 December 2011 the NAV plus cumulative dividends paid of the Fund was 
94.7p, which compares to 94.8p as at 31 August 2011. The performance of the Fund 
has been relatively stable in the period under review, with the NAV reducing 
slightly due to the standard running costs of the VCT exceeding income at this 
early stage of the Company's life. 
 
There have been no changes to any unquoted investment valuations and a reduction 
in the fair value of EKF Diagnostics plc, the Funds only quoted investment, of 
 GBP57,000. 
 
Investment activity 
In the period under review, Octopus VCT plc has invested a total of  GBP8.8million. 
Included in this was a  GBP2.5million follow-on investment into CSL Dualcom Limited 
- a security company,  GBP1.0million into Borro - an online pawn broker and 
 GBP0.9million into Acquire Your Business - a business services provider. 
 
The remaining  GBP4.4million was invested into solar companies that have been set 
up to invest into the renewable energy source.

The Fund's Board is not aware of any other significant event or transaction 
which has occurred between the 1 January 2012 and the date of publication of 
this statement which would have a material impact on the financial position on
