               Completion of Acquisition and Total Voting Rights


Further to the announcement made on 5 December 2007 in which Pubs 'n' Bars
disclosed that it had exchanged contracts to acquire Moorgate Taverns Limited,
the Company is pleased to announce the successful completion of this
acquisition. Accordingly, 7,921,499 new ordinary shares have been issued and
allotted as per the details previously disclosed.


As a result, the Company now has 39,673,358 Ordinary Shares in issue which
figure may be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or
change to their interest in, Pubs 'n' Bars plc under the FSA's Disclosure and
Transparency Rules.
