PNC Telecom PLC (the "Company")
Board Changes and Strategy Update
Following the Annual General Meeting on 14 January at which Geremy Thomas was
appointed as an additional Director of the Company and the discharge of the
Administration Order on 15 January, John Peett and Ian Gray resigned as
Directors and David Bradfield resigned as the Company Secretary. On 16 January,
Mr David Till, who is a chartered accountant, was appointed as an independent
non-executive director of the Company and Mr Nigel Etherington, who is a
solicitor and was a former Company Secretary of the Company, was appointed as
the Company Secretary.
The new Directors have stated the priority of the Board will be to consider and
resolve issues that remain following the disposal of the business of the Company
to Vanguard Holdings Plc (as detailed in previous announcements), to safeguard
the assets of the Company and to examine suitable business opportunities which
may be available in the broad business sectors in which the Company has operated
formerly with a view to restoring a trading business and enhancing the value of
shareholders funds. It is also the intention of the board to strengthen its
composition by the appointment of a further independent non-executive director
in due course.
Following the appointment of the new Directors, the Board has applied to the
London Stock Exchange for the ordinary shares to recommence trading on AIM. Such
trading is expected to recommence on 20 January 2004.
The new board hopes to be in a position to make a further announcement to
shareholders at the time of the holding of the Extraordinary General Meeting of
the Company scheduled to take place on 13 February 2004.

respect of David John Till, age 40.
