                         B Share Redesignation Request

Reed Health Group plc, a provider of specialist staff and associated services to
the Social Care and Health sectors, announces that it has received notice from
six shareholders requesting a redesignation of a total of 26,667,500 'B'
Ordinary Shares into Ordinary Shares.

Ordinary Shares and 'B' Ordinary Shares rank pari passu in respect of dividends
and other distributions, voting and repayment of capital on winding up. The 'B'
Ordinary Shares are not listed and have certain restrictions set on their
transferability.

The current number of Reed Health Ordinary Shares in issue is 32,802,377. The
number of 'B' Ordinary Shares in issue is 26,842,395.

The Board will consider the request and make an announcement in due course.
