Response to Revised Offer by James Reed & Partners Plc

The Independent Directors of Reed Health Group note the announcement by James
Reed & Partners Plc that it will shortly increase its cash offer to 57.5 pence per
share (the "Increased Offer") to acquire all of the issued and to be issued
share capital of Reed Health Group not already owned by James Reed & Partners
Plc.

The Independent Directors are considering the Offer and a further announcement
will be made in due course.
