                     RE: Rugby Estates Investment Trust plc 
 
 
Rugby Estates notes that the offer by ING UK Real Estate Income Trust Limited 
for the whole of the issued share capital of Rugby Estates Investment Trust Plc 
("REIT Plc") has been declared unconditional in all respects. 
 
The Group will therefore shortly receive GBP3.14 million in cash for its shares 
in REIT Plc. 
 
As previously announced, the Group's management agreements with REIT Plc will 
terminate on 30 June 2010, at which point the Group will receive a termination 
payment of GBP600,000.
