                DIRECTOR APPOINTMENT AND DIRECTORS' DECLARATION 
21 May 2010 
In accordance with the requirements of Listing Rules 9.6.11, and further to the 
announcement on 17 May 2010 of the appointments of Trevor Ash, Tjeerd Borstlap, 
Roger Lewis and Robert Sinclair to the board of directors of Rugby Estates 
Investment Trust Plc (the Company), the Company advises of the appointment of 
Nicholas Thompson as non-executive director of the Company, with effect from 20 
May 2010. 
In accordance with the requirements of Listing Rule 9.6.13, the Company advises 
that, save as set out below, none of Mr Ash, Mr Borstlap, Mr Lewis, Mr Sinclair 
or Mr Thompson has: 
(a)     any unspent convictions in relation to indictable offences; 
(b)     been a director of a company which, while he was an executive director 
or within 12 months after he ceased to be an executive director, had a receiver 
appointed or went into compulsory liquidation, creditors voluntary liquidation, 
administration or company voluntary arrangements or made any compositions or 
arrangements with its creditors generally or any class of its creditors; 
(c)     been a partner of any partnership, which while he was a partner or 
within 12 months after he ceased to be a partner, went into compulsory 
liquidation, administration or partnership voluntary arrangement or had a 
receiver appointed to any partnership asset; 
(d)     had any public criticism by statutory or regulatory authorities 
(including designated professional bodies); 
(e)     been disqualified by a court from acting as a director of a company or 
from acting in the management or conduct of the affairs of any company. 
Robert Sinclair was, until 4 July 2005, a director of The Bioscience Investment 
Trust PLC, which was placed in members' voluntary liquidation on 13 May 2005. Mr 
Sinclair is a director of Global Marine Systems (Guernsey) Limited as a result 
of his being a director of Artemis Trustees Limited. Global Marine Systems 
(Guernsey) Limited went into liquidation on 19 May 2005 and it is currently not 
possible to determine whether that liquidation will be solvent. 
A list of all directorships held by Mr Ash, Mr Borstlap, Mr Lewis, Mr Sinclair 
and Mr Thompson in any other publicly quoted company in the previous five years
