Board resignations and appointments

 TC Group A/S ("TC Group"), a private Danish company involved in the design,
manufacture and sale of digital signal processing equipment and of digital audio
software and hardware products, today declared its recommended cash offer, for
the whole of the issued and to be issued share capital of TGI, unconditional in
all respects. Accordingly, TGI announces that Nigel Hamilton (Chief Executive),
Peter Russell (Finance Director), Michael Windsor (Non-executive Chairman) and
Peter Crawford (Non-executive Director) have resigned with immediate effect.

Anders Fauerskov and Anders Fisker have been appointed as Executive Directors
and Anders Fisker has also been appointed as Company Secretary of TGI with
immediate effect.

Mr Fauerskov is Chief Executive Officer, and Mr Fisker is the Financial Manager,
of TC Group.

There are no other publicly quoted company directorships or points under
sections 6.f.2 (b)-(g) of the UK Listing Authority's Listing Rules to be
disclosed in respect of Messrs Fauerskov and Fisker.
