VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6, Tolent
PLC notifies the market of the following:

Tolent PLC's capital consists of 12,832,636 ordinary shares with a nominal value
of 10p each, with voting rights. Tolent PLC does not hold any ordinary shares in
Treasury.

Therefore, the total number of voting rights in Tolent PLC is 12,832,636.

The figure of 12,832,636 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Tolent PLC under the FSA's
Disclosure and Transparency Rules.
