Technoplast Industries Ltd. (hereinafter: "the Company") has announced to the
Tel Aviv Stock Exchange and to the Israeli Securities Authority as an immediate
report, that on 29 June 2004 the Company issued 8,131,052 option warrants
exercisabe into 8,131,052 of the Company's ordinary shares to the offerees as
specified in the immediate report published by the Company on 6 May 2004.

The issued option warrants are exercisable in the Company's shares at any time
from the date of issuance and until 12 May 2009.

The Issued securities shall not be listed for trade.

The total consideration received by the Company upon full exercise of the issued
option warrants shall be approximately US$ 144,000.
