Grant of options to non-executive director

On 31 August 2006 the Company granted 50,000 options for the purchase of
ordinary shares of NIS 0.01 each in the Company to Jonathan Gray, non-executive
director, at an exercise price of $1.50 each. The options will vest as to 33,333
on the third anniversary of his appointment and 16,667 on the fourth anniversary
of his appointment (which, as previously announced, was with effect from 30
November 2005).

The option grant is subject to approval by the Company's shareholders at an
annual general meeting of the Company, which is expected to take place in
October 2006.
