Allotment of Scrip Shares to Directors of the Company and Directors' Dealings

Some members of the Company's Board of Directors have elected to participate in the Company's scrip dividend scheme (the "Scrip Dividend Alternative") in respect of the first interim dividend for the year ending 31 December 2015 and accordingly acquired ordinary shares of 10p each in the Company (the "Shares"), as disclosed in the table below.

The Shares, which are traded on the Main Market of the London Stock Exchange, were sold out of treasury by the Company on 29 October 2015 at the previously announced scrip dividend reference price of 169.30 pence per Share and rank pari passu with the Company's existing Ordinary Shares.

In addition to her own beneficial holding of 59,637 Shares, Mrs S Farnon is a joint trustee and potential beneficiary of the Executors of CRW Best, in which capacity she jointly holds 34,264 shares. Mrs Farnon and her co trustees as applicable elected to participate in the Scrip Dividend Alternative in respect of both of these holdings.

The below table sets out the number of Shares acquired and each director's total holding and those of their connected persons following relevant elections under the Scrip Dividend Alternative.
