                   Matters relating to non-executive Directors

Guy Sangster resigned from the Board on 30 September 2005, having been a
Director of Vebnet and its predecessor company, Stockbourne, since 1993. The
Directors are grateful to Guy for his contribution over the past 12 years.
Vebnet now has three non-executive Directors.

On 3 October 2005, Montague Samuels notified the Company that he had sold 10,000
ordinary shares (0.12% of the issued share capital), in which he had a
non-beneficial interest, at 228p per share, reducing his non-beneficial holding
to 10,000 shares (0.12%) and his total holding to 179,360 shares (2.13%).
