                   Statement at Annual General Meeting (AGM)


Mr. Barry (Oved) Tal, Chairman of VDI, is making the following statement at the
AGM starting at 12:00pm today.

The Board wishes to make the following comment on the outlook for the current
year.

We are pleased with the progress of the company to date in 2006. Fiscal 2005 was
a difficult year, but the foundations were laid for VDI with the establishment
of new sales offices in Europe and the U.S.A and the integration of three
acquired companies.

As a result, sales in the first half of 2006 will be significantly above the
same period for fiscal 2005. It is expected that sales will strengthen further
in the second half of 2006.

We continue to focus on the development of our technology, with new Projects in
2006 involving both the 3C (Command & Control Center) and the DVSS Mobile
(Digital Video Storage System Mobile).

The key to driving growth forward is to have the infrastructure ready to support
the significant sales growth that we expect in 2006 and beyond.

We continue to believe that there are four key growth drivers for our business:

 1. The migration and replacement of older analogue CCTV systems to digital
    technologies;

 2. New installations/projects deploying the latest in network-centric security
    technology;

 3. The integration of existing systems with new, IP-based platforms via one,
    common, Graphical User Interface (GUI);

 4. New markets/opportunities based on new, stringent regulations and security
    needs.

As a result of the above, the Board views VDI prospects for 2006 and beyond with
confidence.
