Letter regarding the resignation of auditors

Pursuant to Section 520(2) of the Companies Act 2006, a letter has today been posted to shareholders of ViCTory VCT PLC (the "Company") for information only in relation to the statutory statement received from PricewaterhouseCoopers LLP ("PwC") in connection with its resignation as the Company's auditor. The reason for the resignation of PwC was that as part of a cost cutting exercise the Company has chosen another firm as auditors at a lower fee than PwC for their audit for the year ended 31 January 2010.

The Company announces that the Board will shortly appoint PKF (UK) LLP to fill the vacancy as auditor of the Company.

A copy of the resignation letter received from PwC has been filed with the Registrar of Companies.
