The following is the text of an announcement released to the Hong Kong Stock
Exchange on which VTech Holdings Limited is listed.





                   SUPPLEMENTARY ANNOUNCEMENT RELATING TO

                     APPOINTMENT OF EXECUTIVE DIRECTOR



Reference is made to the announcement of VTech Holdings Limited (the "Company")
dated 11 April 2007 (the "Announcement") relating to the appointment of Mr. PANG
King Fai ("Mr. PANG") as executive director of the Company with effect from 11
April 2007.



The Company wishes to provide further information of Mr. PANG pursuant to Rule
13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange
of Hong Kong Limited (the "Listing Rules").



Mr. PANG held as various management positions in LSI Logic Corporation (a
company listed on the New York Stock Exchange) from May 1986 to July 1996 and
from December 1997 to December 2003; and was a Vice President of Multimedia
Engineering in Trident Mircosystems, Inc. (a company listed on NASDAQ) from July
1996 to December 1997.  For the purpose of the Listing Rules, Mr. PANG has
confirmed that he does not have knowledge whether the above companies have been
identified as an insider dealer pursuant to Parts XIII or XIV of the Securities
and Futures Ordinance or the repealed Securities (Insider Dealing) Ordinance, or
whether such companies have been found guilty of or been involved in insider
dealing, or been held by any court or competent authority to be in breach of any
securities or financial markets laws, rules or regulations including any rules
and regulations of any securities regulatory authority, stock exchange or
futures exchange, at any time during the period when he was employed by the
above companies.



Save as disclosed above, there is no other information relating to the said
appointment of Mr. PANG that is required to be disclosed pursuant to Rule 13.51
(2) of the Listing Rules and there are no other matters related to his
appointment that need to be brought to the attention of the shareholders of the
Company.



As at the date of this announcement, the Executive Directors of the Company are
Mr. Allan WONG Chi Yun (Chairman and Group Chief Executive Officer), Mr. Edwin
YING Lin Kwan and Mr. PANG King Fai. The Independent Non-executive Directors are
Mr. Raymond CH'IEN Kuo Fung, Mr. William FUNG Kwok Lun, Mr. Michael TIEN Puk Sun
and Mr. Patrick WANG Shui Chung.
