The investigation concerns whether the Arbinet Board of Directors breached their fiduciary duties to Arbinet stockholders by failing to adequately shop the Company before entering into this transaction and whether Primus is underpaying for Arbinet shares, thus unlawfully harming Arbinet stockholders.
