Rigrodsky & Long, P.A. announces that it is investigating potential claims against the board of directors of America Service Group Inc. (“America Service Group ” or the “Company”) (Nasdaq: ASGR) concerning possible breaches of fiduciary duty and other violations of law related to the Company’s entry into an agreement to be acquired by Valitás Health Services, Inc. (“Valitás”) in a transaction with a total value of approximately $250 million. Click here to learn how to join the action: http://www.rigrodskylong.com/news/AmericaServiceGroupInc-ASGR.

Under the proposed agreement, America Service Group shareholders will receive $26.00 per share in cash for each America Service Group share they own.

The investigation concerns whether America Service Group’s board of directors failed to adequately shop the Company and obtain the best price possible for America Service Group’s shareholders or whether they put their interests above of those of the Company’s shareholders before entering into the agreement with Valitás. Indeed, Rich Hallworth, President and CEO of America Service Group, will serve as CEO of the combined company and Michael Taylor, currently the Executive Vice President and Chief Financial Officer of America Service Group, is expected to serve as Executive Vice President and CFO of the combined company.

If you own the common stock of America Service Group and purchased your shares before March 3, 2011, if you have information or would like to learn more about these claims, or if you wish to discuss these matters or have any questions concerning this announcement or your rights or interests with respect to these matters, please contact Seth D.
