potential claims against the board of directors of America Service
Group Inc. (“America Service Group ” or the “Company”) (Nasdaq:
ASGR) concerning possible breaches of fiduciary duty and other
violations of law related to the Company’s entry into an agreement
to be acquired by Valitás Health Services, Inc. (“Valitás”) in a

Under the proposed agreement, America Service Group shareholders
will receive $26.00 per share in cash for each America Service
Group share they own.
The investigation concerns whether America Service Group’s board
of directors failed to adequately shop the Company and obtain the
best price possible for America Service Group’s shareholders or
whether they put their interests above of those of the Company’s
shareholders before entering into the agreement with Valitás.
Indeed, Rich Hallworth, President and CEO of America Service Group,
will serve as CEO of the combined company and Michael Taylor,
currently the Executive Vice President and Chief Financial Officer
of America Service Group, is expected to serve as Executive Vice
President and CFO of the combined company.
