Special General Meeting of Shareholders

The Board of Directors of Altamira Therapeutics Ltd. has decided to call a Special General Meeting of Shareholders (“Special General Meeting”) in order to propose an increase in the authorized share capital of the Company from CHF 650,000 divided into 25,000,000 common shares of CHF 0.01 each and 20,000,000 preference shares of CHF 0.02 each to CHF 1,400,000 divided into 100,000,000 common shares of CHF 0.01 each and 20,000,000 preference shares of CHF 0.02 each, by the creation of an additional 75,000,000 common shares of CHF 0.01 each ranking pari-passu with the existing common shares of the Company. The proposed modification of the amount of the authorized share capital shall increase the Company’s flexibility for corporate finance purposes and does not imply or constitute any immediate increase in the amount of shares outstanding.

The Special General Meeting will be held on September 29, 2022, 8:00 AM Atlantic Daylight Time at Clarendon House, 2 Church Street, Hamilton HM 11, Bermuda.
