An additional $30.00 per share ($360 million in aggregate) may be payable to shareholders in a Contingent Value Right (CVR) based on the status of eluxodoline, Furiex's lead product, as a controlled drug following approval. The claims concern whether the Furiex Board of directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before agreeing to enter into this transaction, and whether Forest is underpaying for Furiex shares.
