On January 24, 2017, Intrexon Corporation (
Intrexon
) issued a
press release announcing that it had entered into an Agreement and Plan of Merger (the
Merger Agreement
), by and among Intrexon, Intrexon GV Holding, Inc., a wholly owned subsidiary of Intrexon, and GenVec, Inc. (the
GenVec
