State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

InPhonic, Inc., (“InPhonic”, the “Company”, “we” or “our”) was unable to meet the November 9, 2007 deadline to file the Company’s Quarterly Report on Form 10-Q for the quarter ended September 30, 2007 (“Form 10-Q”). As disclosed in the Company’s Current Report on Form 8-K dated November 8, 2007, the Company filed for protection under Chapter 11 of the Federal Bankruptcy Code on November 8, 2007. Furthermore, as disclosed in the Company’s Current Report on Form 8-K dated November 8, 2007, the Company’s independent registered accounting firm resigned on November 8, 2007.

Due to the demands associated with the bankruptcy filing and related activities, the Company has been unable to complete the preparation of its Form 10-Q for the quarterly period ended September 30, 2007.

Explanation:

The Company is currently unable to provide a reasonable estimate of its third quarter 2007 results of operations due to the Company’s focus on its ongoing Bankruptcy reorganization proceedings and the previously announced sale of substantially all of its assets to Versa Capital Management under Section 363 of the Bankruptcy Code. Accordingly, the Company cannot at this time estimate what significant changes will be reflected in its third quarter 2007 results of operations compared to its third quarter 2006 results of operations.
