Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

1. Equity Awards

On September 19, 2007, the Compensation Committee of the Company's Board of Directors approved the grant of restricted stock units (the "Units") to the Company's executive officers in the amounts set forth below under the Company's 2004 Stock Plan. Each Unit has a value equal to one share of LTX common stock. The Units are granted under restricted stock unit agreements substantially similar to the form of agreement filed on March 13, 2006 as Exhibit 10.21 to the Company's Form 10-Q, and the Units are time vested over four years in 25% increments per year on September 19, 2008, September 19, 2009, September 19, 2010 and September 19, 2011. The following table sets forth the number of Units granted to each named executive officer:
