A special shareholders' meeting is scheduled for Monday, August 30, 2004 to vote on the merger, name change and new board of directors. According to the Definitive 14C filing, certain officers, directors, affiliates and five percent holders of the Company who own in excess of 50.00% of the outstanding voting shares of the Company have advised the Company that they intend to vote in favor of each proposal on the agenda.
