( 1)  Options issued pursuant to the Issuer's Amended and Restated 1997 Employee Stock Incentive Plan, subject to the terms of an Executive Employment Agreement (the "Agreement") between the Reporting Person and the Issuer. Options vest 20% on the anniversary date of execution of the Agreement and upon each anniversary thereafter and shall be 100% vested as of the fifth anniversary.
