Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 3, 2019, the Compensation Committee of the Board of Directors, and in the case of the President and CEO the independent members of the Board of Directors, of Continental Building Products, Inc. (the “Company”) approved the payment of retention bonuses to certain employees, including the Company’s named executive officers as identified in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on March 18, 2019.  These retention bonuses were granted in connection with the Company entering into a definitive agreement providing for the acquisition of the Company by CertainTeed Gypsum and Ceilings USA, Inc. (the “Merger”), and will be paid to the named executive officers in the following amounts:

One-half of each bonus amount will be paid on the closing date of the Merger (the “Closing Date”) provided that the individual is still employed by the Company on such date and the other half will be paid on the three-month anniversary of the Closing Date provided that the employee is still employed by the acquiror on such date.
