Item 1.02 Termination of a Material Definitive Agreement.
On May 20, 2020, ITC Holdings Corp. (the “Company”) repaid in full all outstanding loans, together with interest and all other amounts due in connection with such repayment, under the Term Loan Credit Agreement, dated as of June 12, 2019, by and among the Company, the various financial institutions and other persons from time to time party thereto as lenders, Toronto-Dominion (Texas) LLC, as administrative agent, Mizuho Bank, Ltd. and TD Securities (USA) LLC, as joint lead arrangers and joint bookrunners and Mizuho Bank, Ltd., as syndication agent.
