Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On May 12, 2010, the New York Stock Exchange (the NYSE) issued a press release announcing the commencement of
suspension procedures with respect to the 4Kids Entertainment, Inc.s (the
Company
) common stock due to the Companys failure to maintain average global market capitalization
over a consecutive 30 trading day period of not less than $15 million.
The Company has a right to a review of the NYSEs determination by a Committee of the Board
of Directors of NYSE Regulation (the Committee). The NYSE indicated that a suspension date will be
announced at such time as i) the Company does not request a review by the Committee
within 10 business days of the NYSEs press release; ii) the subsequent review of the Committee
determines that the Company should be suspended; iii) the Company is approved to
commence trading in another securities marketplace or; iv) there are other material
developments.
The Company is considering whether to request a review of the determination
by the NYSE. If the Company does not request a review or if its common
stock is suspended from trading on the NYSE, it is expected that the Company will
make arrangements for its common stock to trade on the over-the-counter market.
