Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

Milacron Inc. (the "Company"), was notified by the New York Stock Exchange (the "NYSE") on September 18, 2007, that the Company has fallen below the NYSE’s continued listing standard relating to average market capitalization. This standard requires that a company with stockholders' equity of less than seventy-five million dollars maintain total market capitalization of not less than seventy-five million dollars over a thirty trading-day period.

Under NYSE guidelines, Milacron must return to compliance within eighteen months following receipt of the notification. The company's stock will continue to be listed and traded on the NYSE during this 18 month period. The company has notified the NYSE that it intends to submit a plan within the required 45-day period to remedy the non-compliance.
