NexTier Team,

It has been a little over two weeks since we announced our exciting agreement to combine with Patterson-UTI. Since then, members of the leadership team have been on the road speaking with many of you, our customers and investors regarding our merger. We have been thrilled with the feedback we’ve received, and it’s clear that our stakeholders are as excited as we are about the path ahead for NexTier with Patterson-UTI. We are embarking on the next phase of our transaction process to make the opportunities we see ahead a reality – integration planning.

This transaction is about bringing together the best of NexTier and Patterson-UTI to create opportunities that neither of us could achieve on our own. Delivering on this vision will require us to leverage the talent of both our organizations. To do so, we will need to develop a thoughtful and comprehensive integration roadmap. That’s exactly what we intend to do during the coming weeks and months.

In the latter part of July, we will hold a meeting with leaders from NexTier and Patterson-UTI to formally kick off our integration planning efforts. As we announced, Kenneth Pucheu, Chief Financial Officer of NexTier, will be leading this work. We are committed to sharing regular updates as the integration planning team conducts its work. Transparency is a hallmark of NexTier’s culture, and this process will be no different.

Both Patterson-UTI and NexTier have long track records of successfully integrating businesses, and we will lean on these experiences as we develop plans. We will focus on building a combined organization and culture that retains the core values that have made our companies industry leaders. This means focusing on safety, integrity, innovation and a relentless commitment to serving our customers. This also means ensuring we support and empower our people to unlock their true potential.

It is important to remember that our integration planning work will be conducted by focused teams representing both companies.
