announced that it had signed a definitive merger agreement with

B common stock, at an exchange ratio of 0.0550 shares of VMware
Class B common stock for each share of Pivotal Class B common
stock.

satisfy its duties to the Company shareholders, including whether
the board adequately pursued alternatives to the acquisition and
whether the board obtained the best price possible for Pivotal
